inclusive)
1. Name of Corporation:
The name for this corporation shall be The Pirates of Rogues
Cove.
2. Purpose
This corporation is a nonprofit public benefit corporation and
is not organized for the private gain any person. It is organized under
the Nonprofit Public Benefit Law for charitable purposes. The Proposes for
which this corporation is formed are as follows:
1. Research and Education in the following fields:
A. Maritime practices and customs
of pirates, privateers, corsairs, buccaneers, and royal navies of western
Europe, the Mediterranean, and the Caribbean during the 16th, 17th,
18th, and 19th centuries.
B. Teaching and learning the
skills incidental to the aforementioned historical period and trades.
C. Teaching and learning the
techniques of dramatic and comedic improvisation, rehearsed stand
performance, character development, and construction and use of theatrical
tools and props.
2. Applications of said practices, customs, skills, and techniques
while engaged in any lawful activity which recreates the historical
aspects of the stated period of history, or any lawful activity which
directly enhances this corporation's purpose or ability to pursue such
purpose.
This corporation is organized and operated exclusively for charitable
purposes within the meaning of Section 501(c)(3) of the Internal Revenue
Code. Notwithstanding any other provision of these articles, the
corporation shall not carry on any other activities not permitted to be
carried on (1) by a corporation exempt from federal income tax under
Section 510(c)(3) of the Internal Revenue Code of the United States of
1986 (or the corresponding provision of any future United States Internal
Revenue Law), or (2) by a corporation, contributions to which are
deductible under Section 170(c)(2) of the Internal Revenue Code of the
United States of 1986 (or the corresponding provision of any future United
States Internal Revenue Law).
No substantial part of the activities of this corporation shall consist
of propaganda or otherwise attempting to influence legislation, nor shall
this corporation participate in or intervene in (including the publishing
or distribution of statements) any political campaign on behalf of (or in opposition
to) any candidate for public office.
The property of this corporation is irrevocably dedicated to charitable
purposes and no part of the net income or assets of this corporation shall
ever inure to the benefit of any director, officer, or member thereof or
to the benefit of any private person. Upon the dissolution of winding up
of the corporation, its assets remaining after payment, or provisions for
payment, of all debts and liabilities of this corporation shall be
distributed to a non-profit fund, foundation or corporation, which is
organized and operated exclusively for charitable purposes and which has
established its tax exempt status under Section 501(c)(3) if the Internal
Revenue Code.
